1. Acceptance of Terms

By accessing or using Dealsflow's website (dealsflow.ai), application platform (app.dealsflow.ai), and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Dealsflow is an AI-powered business operating system that provides:

• AI conversational assistant ("Flow AI") for business operations
• Customer relationship management (CRM) tools
• Email marketing and campaign management
• Social media and advertising management
• Workflow automation
• Landing page creation
• Unified messaging inbox
• Team collaboration features
• And other features as described on our website

Features vary by subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free Core and Optional AI Employees

4.1 Current offering

DealsFlow offers a free core workspace and optional paid AI employees:

• DealsFlow Core ($0/month): Flow, business memory, CRM, clients, deals, tasks, and calendar for one person and one organization
• Aurelius ($149/month): Optional Growth & Marketing AI employee with 4,000 monthly credits
• Cassius ($249/month): Optional Sales & Customer Relations AI employee with 12,000 monthly credits
• Custom rollout: Tailored support, integrations, and SLA guarantees where agreed in writing

4.2 Billing

• AI employee subscriptions are billed monthly unless a different written agreement applies
• Payment is due at the beginning of each billing period
• All fees are quoted in US dollars and are non-refundable except as required by law or stated in our refund policy
• We use third-party payment processors and do not store your full payment card details

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access to the Service until the end of your current billing period
• No refunds are provided for partial billing periods
• Your data will be retained for 30 days after the end of your subscription, after which it may be deleted

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited bulk messages (spam) or engage in abusive messaging practices
• Upload or distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service's infrastructure or other users' experience
• Scrape, crawl, or use automated tools to extract data from the Service without authorization
• Use Flow AI to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without written permission
• Misrepresent AI-generated content as human-created when deceptive intent is involved

We reserve the right to suspend or terminate accounts that violate these guidelines, with or without notice depending on the severity of the violation.

6. Your Data and Content

6.1 Ownership

You retain ownership of all data, content, and materials you upload, create, or generate through the Service ("Your Content"). By using the Service, you grant Dealsflow a limited, non-exclusive license to process, store, and display Your Content solely to provide and improve the Service.

6.2 AI-Generated Content

Content generated by Flow AI (emails, ad copy, landing pages, suggestions, etc.) is provided for your use. You are responsible for reviewing, editing, and approving any AI-generated content before it is published, sent, or acted upon. Dealsflow does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

6.3 Data Processing

Your data is processed in accordance with our Privacy Policy. We do not sell your data or use your business data to train AI models. We implement industry-standard security measures to protect your data.

6.4 Data Export

You may export your data at any time through the Service's export features or by contacting our support team. We will provide your data in a standard, machine-readable format.

7. Third-Party Integrations

The Service allows you to connect third-party platforms (Facebook, Instagram, WhatsApp, Google, email providers, etc.). When you enable these integrations:

• You authorize Dealsflow to access and interact with those platforms on your behalf
• You are responsible for complying with those platforms' terms of service
• Dealsflow is not responsible for the availability, accuracy, or conduct of third-party services
• You may revoke integration access at any time through your account settings

8. Intellectual Property

The Service, including its design, code, features, AI models, documentation, and branding, is owned by Dealsflow and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted by your subscription.

The Dealsflow name, logo, and "Flow AI" are trademarks of Dealsflow, Inc. You may not use them without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We do not warrant the accuracy or reliability of any AI-generated content or suggestions
• In no event shall Dealsflow's total liability exceed the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption

10. Indemnification

You agree to indemnify and hold harmless Dealsflow and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, send, or publish through the Service

11. Service Availability and SLA

We strive to maintain high availability of the Service. For Enterprise plan customers, specific uptime guarantees are outlined in your Service Level Agreement (SLA). For all other plans:

• We target 99.9% uptime but do not guarantee it
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for downtime caused by factors beyond our reasonable control

12. Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms or our Acceptable Use policy
• Your payment fails and is not resolved within the grace period
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will continue in effect.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first at [email protected] to resolve disputes informally
• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
• Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and when appropriate, sending you an email notification. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

16. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dealsflow regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, pandemics, or infrastructure failures
